Terms of Service

These Terms of Service ("Terms") govern your access to and use of BuilderPilot, operated by Coronel Argenta LLC, a Florida limited liability company ("BuilderPilot", "we", "us", "our"). By creating an account or using BuilderPilot, you agree to these Terms. If you do not agree, do not use the service.
1. Acceptance of Terms
By creating an account, accessing, or using BuilderPilot, you represent that you are at least 18 years old, have the authority to bind the entity you represent (if applicable), and agree to be bound by these Terms and our Privacy Policy.
2. Service Description
BuilderPilot is a software-as-a-service platform that helps contractors and tradespeople manage leads, estimates, projects, subcontractors, field operations, and billing. Features, pricing, and service availability may change with reasonable notice.
3. Subscription, Billing, and Cancellation
Plans are billed monthly or annually in advance via Stripe. All prices are in U.S. dollars and exclude applicable taxes, which will be added at checkout where required. A 21-day free trial begins when you connect your WhatsApp business number; no credit card is required to start the trial. After the trial, subscriptions renew automatically at the then-current rate until canceled. Cancellation and Refunds. You may cancel your subscription at any time from your account settings or by emailing support@builderpilot.app. Cancellation takes effect at the end of the current billing period, and you retain access until that date. We do not offer refunds for partial months or unused portions of an active billing period. Annual subscriptions are non-refundable after the 21-day free trial ends. Failed Payments. If a payment fails, we may suspend your access after a grace period and retry the charge. Repeated failures may result in account termination. Price Changes. We may change subscription prices with at least 30 days' notice sent to your account email. Changes take effect at the start of your next billing cycle.
4. Account Termination
We may suspend or terminate your account immediately, without notice, if you violate these Terms, engage in fraudulent or illegal activity, abuse the service in a way that harms other users or third parties, fail to pay, or violate WhatsApp Business Platform policies. Upon termination, your right to access the service ends, and we may delete your account data subject to Section 9 of our Privacy Policy (data retention).
5. Acceptable Use
You agree to comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state privacy laws, and Meta WhatsApp Business Platform policies. You must obtain proper opt-in consent from contacts before sending automated messages through BuilderPilot. You agree not to: use the service to send spam, harass, threaten, or defraud; upload malicious code; reverse engineer, decompile, or attempt to access source code; use the service to compete with us directly; or violate the intellectual property of any third party.
6. Intellectual Property and Data Ownership
BuilderPilot, including all software, designs, trademarks, and documentation, is owned by Coronel Argenta LLC and protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the service during your active subscription. You retain ownership of all data you upload to BuilderPilot, including customer records, photos, estimates, and documents ("Customer Data"). You grant us a limited license to process Customer Data solely to provide, improve, and secure the service. We will not sell your Customer Data. Aggregate, anonymized usage statistics may be used to improve the product.
7. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, error-free, or secure, or that defects will be corrected. Third-party integrations (Stripe, Meta WhatsApp, Twilio, etc.) are subject to their own terms and availability.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORONEL ARGENTA LLC AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. Our total aggregate liability to you for any claim arising from these Terms or the service is limited to the amount you paid us in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Coronel Argenta LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the service, your Customer Data, your violation of these Terms, or your violation of any third-party right, including TCPA, CAN-SPAM, or Meta WhatsApp Business Platform policies.
10. Modifications to Service
We may add, modify, or remove features at any time. We may also impose limits on certain features or restrict your access to parts or all of the service without notice or liability. We will provide reasonable advance notice for material changes that reduce functionality you actively rely on.
11. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email (to the address on file) and by posting a notice on the service at least 15 days before the changes take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the service shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Miami, Florida. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Class Action Waiver. You and Coronel Argenta LLC agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding. Exception. Either party may bring an individual action in small claims court or seek injunctive relief in court for intellectual property infringement without being required to arbitrate. If any portion of this Section 12 is found unenforceable, the remainder remains in effect, and any claim not subject to arbitration shall be brought exclusively in state or federal courts located in Broward County, Florida.
13. Severability and Entire Agreement
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Coronel Argenta LLC regarding the service and supersede any prior agreements.
